We are in pursuit of a talented lawyer to join our clients growing team as Corporate Legal Counsel. At the core of their service is its decentralized blockchain which has been designed to enable any currency or asset to be digitally signed and traded while complying with financial regulations. With its suite of applications, white label solutions, software development kit, and integrations to financial networks, our client's ecosystem supports multiple touchpoints in the transaction process.

With a leadership group of industry veterans with expertise spanning payment processing, compliance, proprietary technology, and software encryption. Together, they’ve successfully processed $60 billion in transactions—and counting. Initially joining on a part-time basis, the new Corporate Legal Counsel will help move our client to their next phase of growth. The ideal candidate is a talented, approachable, and business-savvy lawyer. Key Responsibilities:
  • Serve as key lawyer and legal advisor on all major business transactions, including acquisitions, financing, investments and partnerships.
  • Securities legal work and compliance relating to private placements, leading the IPO process, AGM and continuous disclosure.
  • Oversee corporate governance processes including board and shareholder meetings.
  • Collaborate with the executive team to ensure agreements are consistent with internal corporate policies and processes.
  • Complete/draft and negotiate inbound/outbound agreements including, NDAs, license and service agreements, amendments, assignments, and other forms of agreements with customers internationally.
  • Provide legal support throughout the customer lifecycle to ensure continued compliance with laws and regulations and customer success while mitigating legal risks.
  • Maintain and oversee MSB registration with FINTRAC.
  • Oversee preparation and maintenance of corporate documents, filings and registrations and the corporate records books.
  • A J.D. or LL.B. with strong academic credentials and a license to practice law in Canada and/or a US law degree and/or a US call to the bar.
  • 3+ years of relevant legal experience, which should include in-house experience supporting sales teams as internal clients.
  • Tech-savvy, entrepreneurial attitude with a passion for working in a fast-paced technology company.
  • Experience in drafting and negotiating technology-related agreements.
  • Superb negotiation skills with the ability to understand the interplay of legal and business terms, and to advocate a strong position while maintaining a positive relationship with the other party.
  • Ability to grasp legal and business issues and provide tailored advice in plain language to non-legal stakeholders on both sides.
  • Impeccable attention to detail, highly organized and able to self-motivate and work independently.
  • Ability to engage quickly, provide timely advice and produce high-quality work in a professional and courteous manner while managing multiple priorities, stakeholders
  • Ability to work and thrive in a dynamic, entrepreneurial and fast-paced environment.
  • Familiarity and experience with listing on NASDAQ
  • Fluent in other languages
