Corporate Legal Counsel - Fintech (part time)

MacDonald Search Group is proud to partner with a leading downtown Vancouver-based company in the Fintech industry in their pursuit of a talented lawyer to join as Corporate Legal Counsel. This role will begin as a part time commitment with the opportunity to grow with the company and eventually become an integral long term, full time member of the team.

Key Responsibilities:
  • Serve as key legal advisor on all major business transactions, including acquisitions, financing, investments and partnerships.
  • Securities legal work and compliance relating to private placements, leading the IPO process, AGM and continuous disclosure.
  • Oversee corporate governance processes including board and shareholder meetings.
  • Complete/draft and negotiate inbound/outbound agreements including: NDAs, licence and service agreements, amendments, assignments, and other agreements with customers internationally.
  • Maintain and oversee MSB registration with FINTRAC.
  • Oversee preparation and maintenance of corporate documents, filings and registrations and the corporate records books.
  • Work collaboratively with external legal counsel and manage and oversee legal budget.
  • Work collaboratively with the Regulatory Consultant on security token project where required.
  • Maintain and manage an up-to-date listing of all legal agreements and obligations, along with company shares & options administration & governance.
Requirements:
  • A J.D. or LL.B. with strong academic credentials and a license to practice law in Canada and/or a US law degree
  • 3+ years of relevant legal experience, which should include in-house experience supporting sales teams as internal clients.
  • Tech-savvy, entrepreneurial attitude with a passion for working in a fast-paced technology company.
  • Superb negotiation skills with the ability to understand the interplay of legal and business terms, and to advocate a strong position while maintaining a positive relationship with the other party.
